My Leviton App Terms of Use
What’s Changed?
Since the previous version, we have:
- Added new rules for Personal API Tokens, including how they may be used, secured, and managed (Special Terms for Personal API Tokens and Personal API Token Access).
- Added protections to help maintain platform security and reliability, including limits on abusive or unauthorized automated activity (API Security, Automated Activity, and Rate Limiting, Account Set-Up and Security, and Restrictions on Use).
- Clarified service availability, support, and compatibility expectations, including the use of third-party integrations (Access to the App and Services, System Availability and Disruption, and Functionality and Content).
- Added information about device telemetry, privacy practices, and AI-enabled features (Privacy, Data Security, and Artificial Intelligence (AI)).
- Updated provisions regarding account termination, liability, and how we notify users of future updates (Termination, Indemnity and Limitations of Damages, and Changes to these Terms).
Introduction
These are terms of use (“Terms”) that apply to the use of the My Leviton Mobile & Web App which is used to support Leviton Smart Products, and other related products/accessories, including the right to use any optional Website feature or App tool, and including any updates, that we make available through our websites or any other distribution method, (respectively, the “App” or the “Website”) and also the terms that apply to any of the services accessible through the App or through any app that we make available for download from any third party application store (collectively, the “Services”), including any Personal API Token or related API access that Leviton may make available through the App or Services. These terms of use for the App are provided by Leviton Manufacturing Co., Inc. ("Leviton"). These Terms are meant specifically for firmware/software, but do not replace any hardware terms, including extended warranty, which is activated by purchase and use a Leviton product.
BY ACCESSING AND/OR USING THE APP OR SERVICES, YOU CONFIRM THAT YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND ACKNOWLEDGE THAT THEY CONSTITUTE A LEGALLY BINDING CONTRACT BETWEEN US AND YOU (AND, IF RELEVANT, ANY ORGANIZATION ON WHOSE BEHALF YOU ARE ACTING). IF YOU ARE ACTING ON BEHALF OF ANY ORGANIZATION, YOU CONFIRM THAT YOU HAVE THE REQUISITE AUTHORITY, POWER, AND RIGHT TO FULLY BIND THAT ORGANIZATION. IF YOU (OR, IF RELEVANT, YOUR ORGANIZATION) DO NOT AGREE TO ALL OF THESE TERMS (OR IF YOU DO NOT HAVE THE RIGHT TO BIND YOUR ORGANIZATION), YOU ARE NOT PERMITTED TO ACCESS OR USE THE APP OR SERVICES, AND YOU SHOULD NOT PROCEED FURTHER.
In these Terms, unless the context otherwise requires, all further references to you (and your, etc.) means both you as an individual user and also the organization on whose behalf you are acting (if any).
Special Terms for Personal API Tokens
If you generate, receive, access, or use a Personal API Token, the Personal API Token Access section applies to that Token and the related API access. If another provision of these Terms would prohibit activity that is expressly permitted under the Personal API Token Access section, the Personal API Token Access section will control solely with respect to that permitted activity. All other provisions of these Terms remain applicable.
Notwithstanding any provision permitting use of the App or Services on behalf of an organization, a Personal API Token is issued to and may be used only by the individual account holder to whom it is issued. The individual account holder may use the Token for personal, professional, contractor, or internal business purposes, but may not share the Token, permit another person or entity to use it, monetize API access or API-enabled functionality, or use it to provide products or services to third parties, except as Leviton expressly authorizes in a separate written agreement.
Access to the App and Services
The App may only be accessed and used on a device owned or controlled by you and running the relevant operating system for which the App was designed, so you must make sure you have a compatible device that meets the necessary technical specifications. You accept responsibility, in accordance with these Terms, for all access to and use of the App or Services by you on any device, whether or not it is owned by you.
We cannot and do not guarantee the continuous, uninterrupted, or error-free operability of the App or Services or that the App or Services will respond at a certain speed (since this depends on a number of factors outside our control). Furthermore, from time to time, we may change, restrict access to or remove some parts of the App, or the entire App and Website, to users, including registered users, and may change, restrict, suspend, throttle, disable, revoke, or terminate access to any Personal API Token, API endpoint, API functionality, or related feature.
System Availability and Disruption
While we endeavor to maintain the availability of our cloud infrastructure, we do not guarantee continuous, uninterrupted, or error-free operability of the App or Services, nor do we guarantee that the App or Services will respond at a specific speed (which depends on networks, internet routing, and other factors outside our control). Leviton reserves the right to modify, restrict access to, or temporarily or permanently withdraw some or all parts of the App or Services to any user at any time, in our sole discretion and without liability, to perform maintenance, upgrades, or to address security threats.
You are responsible for both:
1) Making all arrangements necessary for you to have access to the App.
2) Ensuring that all persons who access the App through your internet connection are aware of these Terms and comply with them.
Account Set-Up and Security
Accessing the App or some of the resources it offers may require you to register to create an account with us, or to provide other information. You are not obliged to have an account with us or to provide any information, but if you do not do so, you may be unable to use some features, functions, or content of, or access the applicable Services through, the App. All information provided must be complete and accurate.
You agree that all provided information is governed by our Privacy Policy (https://myapp.leviton.com/privacy), and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
Leviton may disable, suspend, rotate, revoke, or terminate any username, password, Personal API Token, credential, key, access token, or other identifier as permitted under these Terms.
You are responsible for maintaining the confidentiality and security of your account credentials and each Personal API Token issued to or generated through your account. You must use reasonable safeguards appropriate to the nature of the credential, including storing the Token in a secure location and not including it in publicly accessible code, repositories, logs, messages, websites, applications, or services.
You may not share, publish, disclose, transfer, sell, rent, sublicense, distribute, or otherwise make a Personal API Token available to any other person or entity. You are responsible for activity conducted through your account or using your Personal API Token, except to the extent applicable law provides otherwise.
If you know or reasonably suspect that a Personal API Token has been lost, disclosed, compromised, misused, or accessed without authorization, you must promptly stop using the Token, revoke it through available account functionality, and notify Leviton through the contact method provided for account or security support. If self-service revocation is not available, you must promptly notify Leviton and stop all use of the Token pending Leviton’s response.
Personal API Token Access
For purposes of these Terms, “Personal API Token” means any application programming interface token, credential, key, access credential, or similar authentication mechanism that Leviton may make available through the App or Services to permit an eligible My Leviton account holder to access certain My Leviton platform features, data, or functionality.
Leviton may, in its sole discretion, make Personal API Tokens available to eligible My Leviton account holders. Personal API Tokens are provided solely for use by the individual account holder in connection with Leviton products, devices, accounts, and services that the account holder owns or is authorized to access and control. Permitted use may include personal, hobbyist, educational, research, professional, contractor, or internal business purposes undertaken by the individual account holder.
A Personal API Token is personal to the account holder and may not be shared, transferred, sublicensed, assigned, sold, rented, distributed, disclosed, or otherwise made available to any other person or entity. Without limiting the foregoing, a Personal API Token may not be incorporated into, embedded within, or used to provide access through any publicly available website, application, platform, hosted service, software-as-a-service offering, internet service, managed service, monitoring service, commercial product, or other system that allows access to or use of the Token by persons other than the authorized account holder.
Except as Leviton expressly authorizes in a separate written agreement, a Personal API Token may not be shared, sold, licensed, resold, distributed, monetized, or otherwise commercialized; used to provide products or services to third parties; or used in a manner that permits any person other than the individual account holder to access, use, benefit from, or rely upon the Token or related API access.
You may not use a Personal API Token to:
· provide products, services, integrations, hosting, monitoring, automation, consulting, support, or other functionality to or for any third party;
· develop, operate, distribute, license, host, commercialize, or support any product, service, application, platform, or integration that provides API-enabled functionality to a third party;
· resell, sublicense, distribute, publish, transfer, share, or otherwise make available any Personal API Token;
· access, control, monitor, or collect data from any device, account, system, or service that you do not own or are not expressly authorized to access;
· circumvent, disable, avoid, or interfere with any authentication mechanism, security control, access restriction, usage limit, rate limit, or other technical protection;
· scrape, harvest, bulk extract, or otherwise use the App, Services, Personal API Token, or My Leviton platform in a manner that is excessive, abusive, automated beyond permitted functionality, or inconsistent with these Terms;
· interfere with, degrade, disrupt, or negatively affect the security, availability, performance, integrity, or operation of the App, Services, My Leviton platform, Leviton systems, or any third-party systems;
· reverse engineer, discover, derive, or attempt to derive source code, underlying structure, ideas, algorithms, or non-public APIs, except to the limited extent such restriction is prohibited by applicable law; or
· use the Personal API Token for any unlawful, unsafe, infringing, deceptive, harmful, or unauthorized purpose.
Leviton may monitor usage of Personal API Tokens and may impose, modify, or enforce usage limits, rate limits, access restrictions, security requirements, eligibility requirements, or other technical or operational controls at any time. Leviton may suspend, restrict, throttle, disable, revoke, rotate, or terminate any Personal API Token or related access at any time, with or without notice, for any reason or no reason, including to protect the security, reliability, performance, availability, or integrity of the App, Services, My Leviton platform, Leviton systems, Leviton products, users, or third parties.
Personal API Token access is provided on an “as is” and “as available” basis. Leviton does not guarantee that Personal API Tokens, API functionality, endpoints, data, documentation, or related features will be available, uninterrupted, error-free, secure, compatible, supported, maintained, or continue to operate in any particular manner. Leviton may change, limit, suspend, discontinue, replace, or remove Personal API Token functionality, API endpoints, data fields, documentation, or related features at any time, with or without notice, and Leviton has no obligation to provide backward compatibility, maintenance, updates, error corrections, technical support, developer support, or integration support.
Personal API Token access does not make you a Leviton partner, authorized integrator, reseller, developer, distributor, representative, agent, or service provider and does not grant any right to use Leviton names, logos, trademarks, branding, partner APIs, certification programs, or commercial integration programs. Any customer-facing, multi-user, partner, commercial, hosted, or managed-service integration requires a separate written agreement with Leviton.
Payment and Paid-For Service Subscriptions
Some Services/features may require payment or paid-for service subscriptions, which give you access to the relevant features, functions, and/or content for the level of the Services requested by you from amongst the available options. Subscription fees are payable as indicated on the App.
It is important to note that your subscription will automatically renew (as long as we continue to make the relevant Service subscription available) at the end of the subscription period at the then-current fee (as indicated on the App) unless you cancel your subscription. We will notify you, by email and on the Website, of any increase in the applicable fees.
If any payments are required, all payments will be made via a third-party payment service. Leviton does not see or keep your payment information.
In the event that automatically renewing subscriptions are unavailable for your selected product, or, automatically renewing subscriptions are available but you did not elect the auto-renewing option, your subscription will end at the conclusion of the subscription period. At that point in time your access may be restricted and data will begin its roll-up or purge per the Default Policy, as defined in applicable product sheets and/or in the software itself.
API Security, Automated Activity, and Rate Limiting
To preserve the security, integrity, and availability of our cloud platform, APIs, and connected smart device ecosystems, Leviton strictly regulates automated interactions with our infrastructure.
Unilateral Traffic Management
Leviton may monitor, manage, and restrict traffic to its servers and may impose, modify, or enforce rate limits or other usage controls on the frequency, volume, and formatting of API commands and queries at any time, with or without prior notice.
Prohibited Automated and High-Volume Activities
Automated or programmatic activity conducted through a valid Personal API Token is permitted if it complies with these Terms and applicable documentation, permissions, security controls, usage limits, and rate limits. You may not, and may not permit any third party to:
• use any robot, spider, scraper, crawler, deep-link, script, or other automated or programmatic means to access the App or Services except through API functionality that Leviton makes available and authorizes for that activity;
• query or send commands to Leviton APIs or cloud servers in a manner that exceeds applicable rate limits or usage controls, is excessive or abusive, or unreasonably interferes with system security, availability, integrity, or performance;
• use any integration, middleware, automation script, or third-party home management platform to provide products or services to third parties, expose a Personal API Token or authenticated access to another person or entity, or bypass authorized API functionality, unless Leviton expressly authorizes that activity in a separate written agreement;
• Attempt to spoof, intercept, modify, or inject traffic into the communication protocols between Leviton Devices and our cloud servers.
Enforcement and Remedies for Abuse
If Leviton detects or reasonably suspects that an account, IP address, API key, or Device is participating in unauthorized, excessive, high-volume, or abusive traffic, Leviton may, with or without prior notice and without liability:
• Rate-limit, throttle, or delay your transmission speeds.
• Block specific IP addresses, IP ranges, or device MAC addresses from accessing our cloud infrastructure.
• Terminate any active API sessions or integrations connected to your account.
• Temporarily suspend or permanently close your account.
You acknowledge and agree that Leviton is not liable for any system downtime, automation failures, safety alerts, or operational disruptions resulting from enforcement actions taken under this Section. You agree to indemnify Leviton for any cloud infrastructure, hosting, or bandwidth costs incurred as a result of your unauthorized automated API activity.
Intellectual Property Rights
The App and all of its contents, features, and functionalities, including those from related Leviton products, also including, but not limited to, all text, code, graphics, data, and images ("Content") are owned or licensed, by Leviton with all rights reserved unless otherwise noted. We remain the owners of the App at all times, and we license it to you but do not sell it to you. Any Content that is used as a trademark or logo is also a Leviton-owned, or licensed trademark of Leviton, unless otherwise noted. This App, including all Content, is copyrighted and protected by worldwide copyright laws. You agree to comply with all trademark, copyright, and other laws worldwide in your use of this site and to prevent any unauthorized copying of the materials. Except as expressly provided herein, Leviton does not grant any express or implied right to you under any patents, trademarks, copyrights, or trade secret information. Your use of any Content, except as provided in these Terms, without the written permission of Leviton, is strictly prohibited. You are also advised that Leviton will enforce its intellectual property rights to the fullest extent of the law, including, but not limited to, criminal prosecution.
If you wish to make any use of material on the App other than as permitted by us under these Terms or as previously agreed to by Leviton in writing, please contact us using the contact details provided at the end of these Terms.
Limited License
Subject to the Terms set forth herein, Leviton grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited right to download, install, access, use and display this App and the Content. You may only use any App or Services, if you are a consumer (and not a business user), for non-commercial, personal use, or, if you are a business user, for the internal business purposes of your organization, and only in accordance with these Terms (and in accordance with any applicable terms of any relevant third party service provider for the device on which you access or use the App) and only for lawful purposes (complying with all applicable laws and regulations), and in a responsible manner.
Notwithstanding the foregoing, Personal API Tokens and related API access are available solely for the purposes set forth in the Personal API Token section of these Terms.
You may link to the App from any other app or website provided the link is not misleading or deceptive and fairly indicates its destination, you do not imply that we endorse you, your website, or any products or services you offer, you link to (and do not frame or replicate) the home page of the App, and the linked website does not contain any content that is unlawful, threatening, abusive, defamatory, pornographic, obscene, vulgar, indecent, offensive or which infringes on the intellectual property rights or other rights of any third party.
Restrictions on Use
Except to the extent expressly set out in these Terms, or as otherwise permitted by Leviton in writing, or under applicable law, you are not allowed to:
· Copy, distribute, rent, lease, lend, sell, sublicense, translate, or commercially exploit the App, Services, any API output, API documentation, API endpoint, Personal API Token, or related access credential except as expressly permitted by Leviton; or Content.
· Decompile, disassemble, reverse engineer, decrypt, or attempt to derive or gain access to the source code, underlying algorithms, or device communication protocols of the App, Services, any API, API endpoint, Personal API Token functionality, authentication mechanism, or related technology, or connected Devices.
· Modify, adapt, translate, or create derivative works of the App, Services, any API, API endpoint, Personal API Token functionality, authentication mechanism, or related technology, or Content.
· Bypass, disable, or circumvent any technical protective measures, digital rights management (DRM), or security systems implemented to protect the App, Services, any API, API endpoint, Personal API Token functionality, authentication mechanism, or related technology, or connected Devices.
· Circumvent, exceed, avoid, disable, or interfere with any rate limit, usage limit, access restriction, authentication requirement, security control, or other technical protection;
· Use any automated script, bot, crawler, scraper, or other automated process except as permitted under the Personal API Token Access and API Security, Automated Activity, and Rate Limiting sections, or in a manner that exceeds applicable limits, places an unreasonable or disproportionate load on Leviton systems, or negatively affects the App, Services, My Leviton platform, users, or third parties;
· Access, control, monitor, or collect information from any device, account, product, system, or service that you do not own or are not authorized to access;
· Use any Personal API Token or related API access to provide products or services to third parties; monetize, commercialize, resell, sublicense, host, publicly distribute, or otherwise provide API-enabled functionality to third parties; or permit anyone other than the individual account holder to access or use the Token. An individual account holder may use a Personal API Token for the account holder’s own professional, contractor, or internal business purposes, provided that use otherwise complies with these Terms;
· Use the App or Services to engage in any fraudulent, illegal, defamatory, or harmful activity, or in any manner that could damage the reputation of Leviton or its affiliates.
To do anything with the App or Services that is not expressly permitted by these Terms, you will need separate permission from us. Please contact us, using the contact details at the end of these Terms.
Functionality and Content
You agree that accessing and use of the App or Services are on an ‘as is’ and ‘as available’ basis and at your sole risk. We reserve the right to change the design, features, and/or functionality of the App or Services at any time, with or without prior notice, but we will not materially downgrade the overall benefits of any agreed-to Services prior to the end of the agreed-upon term.
Without limiting the foregoing, Leviton does not represent, warrant, or guarantee that any Personal API Token, API endpoint, API functionality, data field, documentation, or related feature will be available, uninterrupted, error-free, secure, supported, maintained, backward compatible, or compatible with any third-party software, application, integration, platform, automation, script, service, or device.
Except as expressly set out in these Terms, we make or give no representation or warranty as to the accuracy, completeness, currency, correctness, reliability, integrity, quality, fitness for purpose or originality of any content of the App or Services and, to the fullest extent permitted by law, all implied warranties, conditions or other terms of any kind are hereby excluded. To the fullest extent permitted by law, we accept no liability for any loss or damage of any kind incurred as a result of you or anyone else relying on the content of the App or Services.
We cannot and do not guarantee that any App or Services or its content will be free from viruses and/or other potentially harmful code or elements. It is your responsibility to implement appropriate IT security safeguards (including anti-virus and other security checks) to satisfy your particular requirements as to the safety and reliability of the App, Services, and Content.
You may link to the web-based components of our App or Website, provided you do so in a way that is fair, legally compliant, and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.
Leviton is not responsible for any third-party software, application, integration, automation, script, service, device, or platform that accesses, attempts to access, or uses the App, Services, My Leviton platform, or any Personal API Token, including any impact on device functionality, account security, product performance, data accuracy, service availability, or user experience.
User Content
The App and Services may allow you to submit user-generated content, including feedback, (User Content), and also allow you to communicate that content to your selected recipients (if any). We do not control User Content submitted. You are solely responsible for User Content as submitted by you.
You agree that, by submitting any User Content, you grant us and our affiliates a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, and fully sub-licensable right and license to use, reproduce, modify, publish, translate, distribute, perform and display such User Content (in whole or part) to the extent necessary in order for us to provide the Services.
Although we do not pre-screen User Content, we reserve the right, in our sole discretion, to delete, edit or modify any User Content submitted by you, at any time without prior notice.
Information Provided By You
Leviton does not want you to, and you agree not to, send any confidential or proprietary information to Leviton, other than as necessary for the functionality of the App, or the provision of Services, including via the web, either by e-mail, discussion groups, or chat rooms or through any social media (i.e., Facebook, Twitter, etc.) You agree that any information or materials that you or individuals acting on your behalf provide to Leviton will not be considered confidential or proprietary unless specifically designated as such in writing. By providing any such information or materials to Leviton, you grant to Leviton an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, publicly perform, transmit and distribute such information and materials, and you further agree that Leviton is free to use any ideas, concepts or know-how that you or individuals acting on your behalf provide to Leviton. You further recognize that Leviton does not want you to, and you warrant that you shall not, provide any information or materials to Leviton that may be defamatory, threatening, obscene, harassing, or otherwise unlawful, or that incorporates the confidential or proprietary information or materials of another without permission.
External Links
The App and Services may, from time to time, include links to external sites, which may include links to third-party offers and promotions. We include these to provide you with access to information, products, or services that you may find useful or interesting. We are not responsible for the content of these sites or anything provided by them and do not guarantee that they will be continuously available. The fact that we include links to such external sites does not imply any endorsement of, or association with, their operators or promoters.
Privacy, Data Security, and Artificial Intelligence (AI)
Privacy Policy Integration
Your privacy is important to us. The collection, use, sharing, and protection of personal data and device telemetry in connection with the App are governed by and further described in the My Leviton Privacy Policy (accessible at https://myapp.leviton.com/privacy), which is incorporated into these Terms by reference.
Device Telemetry
You acknowledge and agree that to facilitate the functionality of smart home automation, energy monitoring, and technical support, the App automatically transmits operational telemetry, device status, IP addresses, energy usage logs, and network connection metrics to Leviton’s cloud servers.
Automated Decision-Making and AI
Where the App utilizes automated processes, machine learning, or artificial intelligence (AI) to generate energy-saving recommendations, custom scheduling, or load-shedding suggestions:
• These features are for informational and convenience purposes only.
• You retain final control over the settings of your physical Devices.
We process data feeding these systems in compliance with applicable privacy laws, and you may exercise your legal rights regarding automated decision-making as outlined in our Privacy Policy.
Termination
You agree that Leviton, in its sole discretion, may terminate your access to or use of the App or Services, including any Personal API Token or related API access, at any time, and for any reason, including, but not limited to, if Leviton believes that you have violated or acted inconsistently with the letter or spirit of these Terms. Upon such termination, your right to use the App or Services will cease immediately. Upon any suspension, revocation, or termination of a Personal API Token, you must immediately stop using that Personal API Token and any related API access. Leviton has no obligation to reinstate, replace, migrate, support, or provide continued access to any Personal API Token or API functionality. You agree that any such termination may be made by Leviton without prior notice to you. You further agree that Leviton will not be liable to you, or any third party, for any termination of access to the App, Services, website or any information held by Leviton.
You may terminate your access to the App and/or account by contacting us using the information provided at the end of the Terms.
Indemnity and Limitations of Damages
You shall indemnify and hold harmless Leviton, its officers, directors, shareholders, subsidiaries, affiliates, and employees from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees) incurred in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party that your use of the App, Services, Personal API Token, API access, scripts, automations, third-party integrations, or other technology used by or on behalf of you violates any applicable law or regulation, or the rights of any third party or otherwise arises out of or relates to your use, misuse, disclosure, sharing, or compromise of any Personal API Token or related API access. Your use of the App, Services, Personal API Token, API access, Content, and information contained therein is at your own risk.
Nothing in these Terms excludes or limits liability, warranties, remedies, or consumer rights that cannot lawfully be excluded or limited.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Leviton, its officers, directors, and employees will not be liable to any person or entity for indirect, special, incidental, consequential, exemplary, or punitive damages, including, but not limited to, lost profits, lost revenue, business interruption, loss of information or data, loss of goodwill, related to the use of, or the inability to use, the content, materials, and functions of this App or website. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is unforeseeable or caused by events outside our reasonable control. Without limiting the foregoing, Leviton will not be liable for any damages, losses, claims, costs, expenses, service interruptions, device malfunctions, automation failures, security incidents, data loss, loss of access, loss of functionality, or third-party claims arising out of or relating to any Personal API Token, API access, rate limit, suspension, revocation, termination, modification, discontinuation, third-party application, third-party integration, script, automation, or unsupported use.
International Users and Choice of Law
This site is operated and administered from within the United States of America. If you access this site from a location outside of the United States, you are responsible for compliance with all local laws. These Terms shall be governed by the laws of the State of New York, without giving effect to its conflict of laws provisions. You agree to submit to the jurisdiction of the courts located in the State of New York, for the resolution of all disputes arising from or related to these Terms and/or your use of the site, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts.

If for any reason a court of competent jurisdiction finds any provision of the agreement or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of the agreement, and the remainder of this agreement shall continue in full force and effect.
